3. Proposals & Quotations

All proposals, quotations, estimates, and project plans:

  • Are valid only for the period specified
  • Are subject to scope confirmation
  • May be revised if requirements change
  • Do not constitute a binding agreement until accepted

4. Client Responsibilities

Clients are responsible for:

  • Providing accurate information
  • Providing required data and documentation
  • Granting necessary access to systems
  • Reviewing deliverables within agreed timelines
  • Maintaining licensed third-party software where applicable

Delays caused by missing information may affect project timelines.

5. Intellectual Property

Unless otherwise agreed in writing:

  • All pre-existing intellectual property remains the property of its owner.
  • ERPNext remains subject to its respective open-source licensing terms.
  • Custom developments remain the property of the respective agreement holder.
  • Vixva retains ownership of its proprietary methodologies, templates, frameworks, and tools.

6. Website Usage

Users agree not to:

  • Attempt unauthorized access
  • Introduce malicious software
  • Disrupt website operations
  • Use the website for unlawful purposes
  • Copy proprietary content without permission

7. Service Availability

While reasonable efforts are made to maintain service availability, Vixva does not guarantee uninterrupted access to:

  • Websites
  • Cloud services
  • Demonstration systems
  • Support platforms

Scheduled maintenance may occur periodically.

8. Third-Party Products & Services

Certain solutions may rely on third-party providers including:

  • Cloud hosting providers
  • Payment gateways
  • Open-source platforms
  • Software vendors

Vixva is not responsible for outages or failures originating from third-party services.

9. Limitation of Liability

To the maximum extent permitted by law:

Vixva shall not be liable for:

Clients are responsible for maintaining independent backups of critical business data.

10. Payment Terms

For contracted services:

  • Payments shall be made according to agreed payment schedules.
  • Delayed payments may result in suspension of services.
  • Hosting and subscription services may be suspended for overdue accounts.

Additional project-specific payment terms may apply.

11. Confidentiality

Both parties agree to maintain confidentiality of non-public business information disclosed during projects, consultations, or engagements.

Confidentiality obligations survive termination of services.

12. Support & Maintenance

Support services are governed by:

  • Service Level Agreements (SLA)
  • Annual Maintenance Agreements (AMC)
  • Project-specific support arrangements

Support coverage and response times vary according to selected service packages.

13. Termination

Vixva reserves the right to suspend or terminate services where:

  • Terms are violated
  • Payments remain outstanding
  • Unlawful activities are detected
  • Security risks are identified

14. Governing Law

These Terms shall be governed by the laws of the Democratic Socialist Republic of Sri Lanka.

Any disputes shall be subject to the jurisdiction of the courts of Sri Lanka.

15. Changes to Terms

Vixva may modify these Terms of Service periodically.

Continued use of the website or services constitutes acceptance of updated terms.
